1. Purpose

These terms of use set out the terms and conditions under which Nicocrm makes a customer relationship management (CRM) platform available to its customers as a software-as-a-service (SaaS) offering, as well as the respective rights and obligations of the parties in this context.

Creating an account and using the platform in any way constitutes full and unconditional acceptance of these terms.

2. Definitions

The capitalized terms below have the following meaning in these terms of use:

  • "Platform" means the Nicocrm application accessible online, including all of its modules (contacts, companies, opportunities, quotes and invoices, calendar, notifications, reports).
  • "Customer" means any legal entity that has subscribed to the Platform.
  • "User" means any individual authorized by the Customer to access the Platform through an individual account.
  • "Account" means a User's personal space, protected by a login and a password.

3. Access to the service

Access to the Platform is reserved for Customers with an active subscription and Users with a valid account created by a Customer administrator.

Nicocrm uses reasonable means to ensure the continuous availability of the Platform, without however guaranteeing uninterrupted availability. Planned maintenance operations may cause temporary interruptions, of which Customers will be informed whenever possible.

4. User accounts

Each User is responsible for keeping their login credentials confidential and for any activity carried out from their Account.

The Customer is responsible for managing the roles and permissions assigned to its Users (Admin, Manager, User, HR, Marketing) and undertakes to promptly revoke access for anyone who should no longer use the Platform, in particular when a team member leaves.

Any fraudulent or unauthorized use of an Account must be reported to Nicocrm without delay.

5. Plans and billing

The Platform is offered through several subscription plans (Free, Starter, Agency, Enterprise), each associated with quotas for users, contacts and opportunities, as well as a scope of features described in the product documentation.

Paid subscriptions are billed manually according to the frequency agreed with the Customer at the time of subscription or renewal. Payment is due by the deadlines shown on the billing documents sent by Nicocrm.

A change of plan (upgrade or downgrade), as well as the purchase of additional contact credits, may be requested from Nicocrm at any time and takes effect according to the terms described in the product documentation.

Exceeding the quotas associated with a plan may result in certain actions being blocked until the subscription is upgraded or additional credits are purchased.

6. Intellectual property

The Platform, its source code, interfaces, documentation and all of its components remain the exclusive property of Nicocrm or its licensors. Nothing in these terms of use shall be construed as a transfer of intellectual property rights to the Customer.

Data entered and imported by the Customer into the Platform (contacts, companies, opportunities, sales documents) remains its exclusive property. Nicocrm claims no ownership rights over this data and undertakes to process it in accordance with the Privacy Policy.

7. Liability

Nicocrm undertakes to provide the Platform with a reasonable level of diligence, without guaranteeing the total absence of errors, interruptions or vulnerabilities.

The Customer is solely responsible for the accuracy, lawfulness and upkeep of the data it enters or imports into the Platform, as well as for compliance with the rules applicable to commercial prospecting and the protection of the personal data of its own contacts.

Nicocrm shall not be held liable for any indirect damage, loss of revenue or loss of data resulting from misuse of the Platform by the Customer or its Users.

8. Termination

The Customer may terminate its subscription at any time in accordance with the notice terms agreed at the time of subscription. Termination takes effect at the end of the current subscription period, unless otherwise agreed.

Nicocrm reserves the right to suspend or terminate a Customer's access in the event of a serious breach of these terms, in particular persistent non-payment or unlawful use of the Platform, after a formal notice has gone unanswered.

Following termination, the Customer has a reasonable period of time to export its data before it is permanently deleted from Nicocrm's systems.

9. Governing law and jurisdiction

These terms of use are governed by Senegalese law, including the uniform acts of the Organization for the Harmonization of Business Law in Africa (OHADA) applicable to commercial relations between professionals.

Any dispute relating to the formation, interpretation or performance of these terms shall, failing an amicable resolution, be submitted to the competent courts of Dakar, Senegal.
